Terms of Service
Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the LeakWatch platform (“Service”) provided by RedSide Security LLC (“RedSide”, “we”, “us” or “our”). By creating an account, accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
1. Eligibility and account registration
- The Service is intended for use by organisations and authorised professionals only. You must be at least 18 years old and have the legal capacity to enter into these Terms.
- You must provide accurate and complete registration information and keep your account details up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
2. Permitted use
LeakWatch is a security and risk‑management solution designed to help organisations identify potential credential and data exposure in authorised intelligence sources. You agree to:
- Use the Service solely for legitimate, defensive security, fraud‑prevention and compliance purposes;
- Search only for accounts, domains and identifiers for which you or your organisation have a lawful right to monitor;
- Comply with all applicable laws, regulations and industry standards, including data‑protection and privacy laws;
- Refrain from using the Service for offensive security testing, credential stuffing, unauthorised access, harassment or any unlawful or unethical activity.
3. Prohibited conduct
You must not, and must not permit others to:
- Attempt to gain unauthorised access to the Service, other users’ accounts or any related systems;
- Interfere with or disrupt the integrity, performance or security of the Service or underlying infrastructure;
- Reverse engineer, decompile or attempt to derive the source code or underlying models, except to the extent permitted by law;
- Use the Service to store or transmit malicious code, or to knowingly upload unlawful, infringing or harmful content;
- Resell, sublicense or provide the Service to third parties except as explicitly permitted in a separate written agreement with RedSide.
4. Customer data and responsibilities
- Customer Data means any data, including personal data, that you submit to or collect via the Service (such as email addresses, usernames or domains for monitoring).
- You retain ownership of your Customer Data. You grant RedSide a worldwide, non‑exclusive licence to host, process and use Customer Data solely as necessary to provide and improve the Service, comply with law and enforce these Terms.
- You are responsible for ensuring that you have all necessary rights, consents and lawful bases to submit Customer Data to the Service and to use the Service for your intended purposes.
5. Data protection and security
- RedSide will implement reasonable and appropriate technical and organisational measures to protect Customer Data against unauthorised access, loss or disclosure.
- We do not store customer passwords in cleartext and take steps to minimise the exposure of sensitive information in search results.
- Additional data‑processing terms (including GDPR‑compliant data‑processing agreements, if applicable) may be provided separately and will form part of your contractual relationship with RedSide.
- LeakWatch does not store or retain any breached or leaked data.
- The Service only displays information retrieved in real-time from third-party breach-intelligence providers (“External Providers”).
- RedSide does not control and is not responsible for the accuracy, completeness, legality, source or continued availability of data supplied by External Providers.
- For security, audit and abuse-prevention purposes, the Service logs metadata such as query timestamps, domains searched and user identifiers. Query content is not stored beyond the session duration.
6. Subscription, fees and payment
- Access to the Service may be provided on a subscription basis (e.g. FREE, PRO, ENTERPRISE plans) as set out in the applicable order form or online checkout.
- Fees are payable in accordance with the pricing and billing terms communicated to you. Unless otherwise stated, all fees are non‑refundable.
- We may modify pricing or plan features on renewal or upon prior notice, in accordance with applicable law and your contract.
7. Term and termination
- These Terms apply from the date you first access the Service and continue until your subscription or access is terminated.
- You may terminate your subscription in accordance with the cancellation terms of your plan. Certain contractual commitments (for example, minimum terms in an enterprise agreement) may continue to apply.
- We may suspend or terminate your access to the Service immediately if you materially breach these Terms, misuse the Service, or if required by law or regulatory authority.
- Upon termination, your access to the Service will cease. We may retain certain data as required by law or for legitimate business purposes, in line with our retention policies.
8. Intellectual property
- All rights, title and interest in and to the Service, including software, documentation, designs, logos and underlying technology, are owned by RedSide or its licensors.
- Except for the limited rights expressly granted in these Terms, no licences or other rights are granted to you, whether by implication or otherwise.
9. Disclaimers
- The Service is provided on an “as is” and “as available” basis. We do not guarantee that the Service will be error‑free, uninterrupted or that it will identify all instances of credential or data exposure.
- To the fullest extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non‑infringement.
- The Service relies on external data sources, including third-party breach-intelligence APIs. RedSide does not guarantee and is not responsible for the legality, accuracy or reliability of data obtained from such third-party sources. You acknowledge that External Providers may obtain, process or display data according to their own legal bases, terms and jurisdictions, which are outside RedSide’s control.
10. Limitation of liability
- To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profits, revenue or data, arising out of or in connection with the use of the Service.
- Except for amounts payable for (a) your unpaid fees or (b) your breach of Sections 2–4 (Permitted Use, Prohibited Conduct, Customer Data), each party’s aggregate liability under these Terms is limited to the fees actually paid by you to RedSide for the Service in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnity
You agree to indemnify and hold harmless RedSide, its officers, employees and affiliates from and against any claims, losses, damages, liabilities, costs and expenses arising out of or related to your use of the Service in breach of these Terms or applicable law.
12. Changes to the Service and Terms
- We may update or modify the Service from time to time, including by adding, changing or removing features.
- We may update these Terms to reflect changes in the Service, legal requirements or business needs. When we do so, we will post the updated Terms and update the “Last updated” date above. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
13. Governing law and disputes
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Armenia, without regard to conflict-of-laws principles..

Software License Agreement
This Software License Agreement (“License”) governs your use of the LeakWatch proprietary software and related materials made available by RedSide Security Ltd. (“RedSide”, “we”, “us” or “our”), Khorenatsi 47/1, 126, Yerevan, Armenia. By accessing or using the Software, you agree to this License. If you accept on behalf of an organisation, you represent that you have authority to bind that organisation.
1. Definitions
- Software means the LeakWatch hosted web application (Analyst console and related interfaces), REST API, in-product documentation, user interfaces, workflows, and updates RedSide provides under this License. It does not include third-party breach-intelligence data or External Provider services.
- Authorised Users means your employees, contractors, and agents permitted to use the Software on your behalf for internal business purposes, subject to confidentiality obligations.
- API Credentials means API keys or other authentication secrets issued for programmatic access.
- Documentation means materials RedSide provides describing operation of the Software.
2. Relationship to the Terms of Service
This License governs intellectual property and use rights in the Software. Our Terms of Service govern the service relationship (fees, acceptable use, data protection, support, and liability). If there is a conflict regarding use of the Software, this License prevails; for service delivery, Customer Data, fees, or privacy, the Terms prevail unless a signed enterprise agreement states otherwise. Together with the Privacy Policy, Cookie Policy, order forms, and any DPA, these documents form your contractual framework for LeakWatch.
3. Acceptance
You accept this License by confirming acceptance during registration or when prompted after a version update, or by using the Software after a revised version is published. If you do not agree, you must not use the Software.
4. Grant of license
Subject to your compliance with this License and the Terms, RedSide grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Permit Authorised Users to access the hosted Software through accounts issued to you, for internal security, risk-management, fraud-prevention, and compliance operations, within your subscription plan;
- Use the REST API and API Credentials as permitted by your plan for internal integrations (not for resale or service-bureau use);
- Copy and use Documentation solely to support authorised use.
The Software is licensed, not sold. RedSide and its licensors retain all intellectual property rights. No rights are granted except as expressly stated.
5. Authorised Users and security
- You are responsible for Authorised Users and must maintain confidentiality of login credentials and API Credentials.
- Implement reasonable access controls, including least privilege and multi-factor authentication where available.
- Notify [email protected] promptly if you suspect compromise or unauthorised use.
- You remain liable for acts and omissions of Authorised Users.
6. Restrictions
Except where mandatory law prohibits a restriction, you must not, and must not permit others to:
- Copy, modify, adapt, or create derivative works of the Software or Documentation, except as required for authorised use or by law;
- Reverse engineer, decompile, or disassemble the Software, or attempt to derive source code or non-public APIs, except as permitted by applicable law;
- Bypass usage limits, authentication, rate limits, or plan entitlements;
- Sell, resell, rent, distribute, or make the Software available to third parties, or operate a service bureau or managed offering for third-party benefit, except with our prior written consent;
- Use the Software to develop or offer a competing product or service;
- Use the Software unlawfully or without a lawful basis to monitor individuals or systems;
- Introduce malware or interfere with the integrity or security of the Software;
- Remove proprietary notices;
- Publish benchmarks or security analyses of the Software without our prior written consent, except where prohibited by law.
7. API Credentials and integrations
- API Credentials are confidential and for your organisation’s internal use only.
- Do not embed API Credentials in client-side code, public repositories, or shared dashboards accessible to unauthorised persons.
- Rotate or revoke compromised Credentials promptly.
- We may suspend or revoke Credentials that are exposed, abused, or used in breach of this License or the Terms.
8. Confidentiality
Non-public aspects of the Software and Documentation are RedSide’s confidential information. You must protect them with reasonable care, use them only for authorised purposes, and not disclose them except to Authorised Users and advisers bound by confidentiality. Customer Data is governed by the Terms and Privacy Policy.
9. Intellectual property and feedback
- You may not use our trademarks or logos without prior written consent, except for factual references to authorised use.
- Feedback you provide may be used by RedSide without obligation to you, unless otherwise agreed in writing.
10. Updates and plan limits
- Updates and patches are subject to this License unless separate terms apply.
- Material License changes are identified by a new version; renewed acceptance may be required before continued use.
- Your license is limited to your subscription plan (searches, alerts, API calls, dashboards, etc.). Use beyond plan scope is a material breach.
11. Open-source and third-party data
Open-source components included in the Software are subject to their respective licenses. Third-party breach-intelligence data is not licensed here and remains subject to External Provider terms in the Terms of Service.
12. Export control and sanctions
You represent compliance with applicable export-control and sanctions laws and that you are not on restricted-party lists or located in comprehensively sanctioned territories.
13. Term and termination
- This License begins on acceptance or first access and ends when your Service access ends or upon material breach.
- We may suspend access to protect security, prevent abuse, or comply with law, consistent with the Terms.
- Upon termination, cease all use, destroy confidential Documentation copies (except as required by law or secure backups), and surviving sections (restrictions, confidentiality, disclaimers, liability, governing law) continue to apply.
14. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOFTWARE AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE”. REDSIDE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR COMPLETE DETECTION OF EXPOSURE.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, OR DATA. REDSIDE’S AGGREGATE LIABILITY UNDER THIS LICENSE IS LIMITED AS SET OUT IN THE TERMS. NOTHING EXCLUDES LIABILITY THAT CANNOT BE LIMITED UNDER MANDATORY LAW.
16. Indemnification
You will indemnify RedSide against third-party claims arising from your or Authorised Users’ breach of this License or applicable law, except to the extent caused by RedSide’s wilful misconduct or fraud.
17. Governing law
This License is governed by the laws of the Republic of Armenia. Subject to mandatory law, courts in Yerevan, Armenia have exclusive jurisdiction; we may seek injunctive relief elsewhere to protect intellectual property. Non-waivable consumer rights in your country of residence remain unaffected.
18. General
- Severability, no waiver, assignment (with our consent for your assignment), and force majeure apply as standard commercial terms.
- English version prevails if translated.
